Revenue participation is not software ownership, equity ownership or a guarantee of profit. Each arrangement defines the actual rights and obligations.
Participation
Defined revenue share, distributable profit share, service fees, milestone payments, licensing fees and hybrid terms can be negotiated. No universal percentage applies.
Revenue and profit
The agreement defines the eligible revenue, permitted expenses, infrastructure costs, taxes, reserves and calculation sequence. Revenue is not automatically the distributable amount.
Settlement
Accounting periods, currencies, due dates and payment evidence are recorded. A calculation creates an obligation; a reviewed payment or verified provider confirmation establishes settlement.
Changes and exit
A material change needs a documented amendment. Buyouts identify particular assets, restrictions, valuation, execution, verified settlement and completed transfer steps.
