1. Company, contact and scope
NULL ORIGIN (PTY) LTD, registration number 2026/801266/07, operates https://nullorigin.tech in South Africa. Our registered office is 5826 Neli Mokele Street, Tshepiso, Vanderbijlpark, Gauteng, 1901, South Africa. Contact [email protected] about this website or these terms. Telephone: +27 84 689 1445 (084 689 1445 within South Africa; tel:+27846891445).
These terms cover use of our corporate website and partner portal. Visitors can browse public pages without an account. Separate product terms govern the respective products; signed project agreements govern their services, deliverables and commercial obligations. Browsing, creating an account or submitting an enquiry does not by itself enter you into a development, revenue-share or buyout agreement.
2. Permitted use
Use the website lawfully and within your authority. Do not impersonate another person, misrepresent signing authority, seek unauthorized access, interfere with operation or security, upload malicious files, or infringe intellectual property, privacy or confidentiality rights. Do not access another project or alter records without permission. These restrictions do not prevent legitimate criticism, lawful consumer complaints, reporting misconduct or exercising statutory rights.
3. Accounts and portal access
The portal supports email and password accounts with email confirmation, and a Google sign-in option. Use your own accurate details, keep credentials confidential and report suspected misuse promptly. Access to a project is assigned separately; a matching email domain does not grant access.
Password changes in the portal require your current password and end the current session. Signing out requests revocation of Supabase refresh sessions; already-issued access tokens can remain usable until expiry. Contact support if you cannot access your account; we may verify your identity and authority before assisting. Do not share credentials to bypass permissions.
We may restrict access proportionately to address abuse, compromised credentials or unlawful activity. Where practicable, we will explain the reason and provide a route to resolve it; urgent security action may precede notice. Account closure or suspension does not itself terminate a project agreement or extinguish rights or obligations under it.
4. Enquiries, applications and proposals
An enquiry, private draft, application or proposal starts evaluation. It does not guarantee acceptance, funding, partnership, delivery or a contract. An accepted application is not an executed project agreement. Formal submission may require explicit acceptance of separately published submission terms, with the accepted version and time recorded.
Submit accurate information and materials you are authorised to provide. You and other rights holders retain the rights you already hold in submitted materials. Submission does not assign those rights to Null Origin. You authorise us to use the materials only as reasonably necessary to evaluate, respond to and administer your request, subject to the applicable privacy and confidentiality terms. Submission is not permission to publish, sell or reuse the material for an unrelated purpose. Restricted access does not replace a negotiated nondisclosure agreement; discuss appropriate protections before sending highly sensitive information.
5. Website and project intellectual property
Null Origin owns or licenses its website content, software and branding. Third-party works and open-source components retain their respective rights and licence conditions. You may view the site and make reasonable copies for personal reference or lawful purposes; wider reproduction or commercial use requires appropriate permission, subject to statutory exceptions.
Rights in submitted materials remain with the relevant rights holders. Website intellectual property is separate from project deliverables, business equity, customer information, domains and brand assets. A project agreement must identify ownership, licensing and any transfer of each relevant asset. Portal access alone does not transfer source-code ownership.
6. Commercial relationships and separate agreements
Null Origin may build its own products, undertake client work or collaborate with partners. Our intended standard revenue-share starting point is 30%. Under that intended model, Null Origin retains ownership of the source code, with operating and licensing rights agreed separately.
A separately negotiated paid buyout may transfer agreed source-code rights and domain ownership and end or amend the revenue share. A buyout request or payment proposal alone transfers nothing; scope, restrictions, settlement and completion must be agreed and documented.
These commercial principles guide negotiations. A separate agreement establishes the actual scope, percentage, revenue definition, reporting, expenses, duration, licensing, maintenance, termination and buyout terms. Revenue share is distinct from profit share or equity. These arrangements are not imposed by browsing, account creation or form submission.
7. Public showcases and distribution
You may choose whether we can publicly feature your project or whether you prefer to manage branding independently. A private submission is not automatic permission to publish. Public featuring must follow recorded permission, restrictions and the agreed scope, including approval of the proposed content and assets. Distribution services and any associated costs are agreed separately.
Contact [email protected] to request changes or withdrawal, or use the project visibility controls available to authorised partners. Within the scope of a valid withdrawal, we stop new uses and remove, disable or update affected showcase material on websites and accounts we control without unnecessary delay. We explain any separate lawful basis or contractual issue affecting the request. Copies independently retained or republished by other people may remain outside our control.
8. Pricing, delivery, refunds and cancellation
This corporate website has no checkout for purchasing services. Proposals and portal accounting records do not themselves create subscriptions or confirm completed payments. Prices, taxes, payment milestones, delivery dates, acceptance criteria, support, cancellation and refund arrangements belong in the relevant offer or agreement.
Nothing here imposes a blanket no-refunds rule or removes mandatory rights under the Consumer Protection Act or the Electronic Communications and Transactions Act where applicable, including applicable cancellation, cooling-off and remedies for deficient performance. Product purchases made elsewhere follow that product’s terms and applicable law.
Where a service is offered or agreed electronically, we provide the supplier information and transaction-specific disclosures required by applicable law before you commit. The absence of a website checkout does not remove rights that apply to the transaction.
9. Availability and external services
We aim to provide useful, accurate information and reasonable availability, but maintenance, outages and changes can interrupt access. Public information is general information; confirm project-specific commitments with us. We will address reported errors where appropriate.
Links and optional embedded previews open separate product or service pages. Some products are operated by Null Origin and other services by external providers. The relevant product terms and privacy notice identify the operator and explain that service. A link does not guarantee every claim made by an external provider. Nothing here removes Null Origin’s responsibility for services it operates or for its own conduct.
10. Responsibility and applicable rights
Each party remains responsible under applicable law for its conduct. Any liability assessment must take account of the circumstances, causation, foreseeable loss and applicable statutory protections. We do not promise uninterrupted or error-free operation or absolute security.
Nothing in these terms excludes liability that cannot lawfully be excluded, limits mandatory consumer or privacy rights, or excuses fraud, gross negligence or other conduct whose liability may not be waived. There is no automatic user indemnity or fixed financial liability cap in these website terms. Project-specific risk allocation must be agreed separately and remains subject to law.
11. Disputes, closure and changes
Contact [email protected] first if you would like us to investigate a concern. You remain free to approach a competent court, regulator, ombud or other forum available under applicable law without being required to resolve the matter with us first. South African law governs these website terms, subject to mandatory rights and competent forums that apply to you.
You can stop using the website and request account closure through support. Necessary legal, financial or dispute records may still be retained as described in the Privacy Policy. Separate agreements determine project termination and continuing obligations.
Changes apply prospectively from the stated effective date. We will identify the version and date on this page and communicate material changes to affected account holders through available email or portal notices. Where a contractual change requires notice or renewed acceptance, we will obtain that acceptance; we will not silently treat earlier submissions as acceptance of new project obligations.
