1. Software ownership and executed agreements
Our intended commercial position is that software and technical assets developed for an engagement remain owned by Null Origin to the extent that Null Origin owns or lawfully acquires the relevant rights, unless the executed written agreement provides otherwise. Pre-existing materials and third-party components retain their applicable ownership and licence conditions. The agreement identifies the rights licensed or transferred.
2. Separate rights
Software ownership is distinct from business ownership, equity, revenue participation, operational authority, brand ownership and access. Each must be negotiated and represented independently.
3. Asset-specific ownership
Source code, repositories, architecture, design systems, domains, infrastructure, documentation, content, trademarks and brand assets may have different owners or restrictions. Customer data is not automatically Null Origin intellectual property.
4. Licensing and access
A business may operate using licensed software without owning the code. Licensed uses, access rights, restrictions and duration belong in the asset and agreement records. Third-party components retain their applicable rights and licences.
5. Transfers
Ownership changes require asset-specific authorization and documented completion. A buyout request alone transfers nothing.
Transfers must satisfy the applicable legal formalities and third-party restrictions for each asset. Repository access, possession of files or a payment alone does not establish an ownership transfer.
